These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "User," or "you") and Profit Kitchen Consulting, a business based in Jacksonville, Florida. These Terms apply to all services, products, platforms, and content provided by Profit Kitchen, including:
By clicking "I Agree," submitting a payment, completing an enrollment form, or accessing any service, you confirm that you have read, understood, and agree to these Terms. If you are accepting on behalf of a business, you represent that you have the authority to bind that business to these Terms.
Profit Kitchen operates across three service pillars. Each is governed by the general terms in this document plus any additional terms communicated at the point of sale or in a separate service agreement.

VOM services are delivered remotely and may include, depending on the package tier selected: weekly operations reviews, third-party delivery platform management, POS audit support, financial reporting review, marketing execution support, and direct advisory from a Profit Kitchen operations specialist. Specific deliverables are outlined in the service tier description confirmed at enrollment.

Profit Kitchen is not liable for outcomes resulting from a client's failure to provide access, follow through on recommendations, or respond to communications within the agreed timeframe.
Profit Kitchen and its team members operate as independent contractors. Nothing in these Terms creates an employer-employee, partnership, joint venture, or agency relationship between you and Profit Kitchen.
While Profit Kitchen applies proven operational strategies, individual results vary based on your market, concept, staff, and execution. Profit Kitchen does not guarantee specific revenue outcomes, cost reductions, or profitability improvements.
Upon activation of a paid Pulse subscription, Profit Kitchen grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Profit Kitchen Pulse platform solely for your own internal business operations. You may not resell, sublicense, or share your account credentials with third parties outside your organization.
Pulse subscriptions are billed on a monthly or annual basis as selected at signup. Subscriptions automatically renew at the end of each billing cycle unless cancelled prior to the renewal date. You will receive advance notice of any price changes before they take effect on your subscription.
If Profit Kitchen offers a free trial, your trial begins on the date access is granted and ends on the date specified in the trial offer. At the end of the trial, you will be required to enter payment information to continue access. We reserve the right to modify, limit, or discontinue trial offers at any time.
You retain ownership of all business data you upload or connect to the Pulse platform (e.g., POS data, sales figures, inventory records). You grant Profit Kitchen a limited license to process and display that data within the platform for the purpose of delivering the service. Profit Kitchen will not sell your business data to third parties. Refer to our Privacy Policy for full details on data handling.
Profit Kitchen will make commercially reasonable efforts to maintain platform uptime. Scheduled maintenance, third-party outages, and circumstances beyond our control may result in temporary unavailability. Profit Kitchen is not liable for losses resulting from platform downtime.
You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately at [email protected] if you suspect unauthorized access to your account. Profit Kitchen is not liable for losses resulting from unauthorized use of your credentials.
Profit Kitchen reserves the right to modify, update, or discontinue features of the Pulse platform at any time. We will make reasonable efforts to communicate material changes in advance. Continued use of the platform after such changes constitutes acceptance.
Upon purchase of a Profit Kitchen Academy course or program, you are granted a personal, non-transferable license to access the course content for the duration specified at the time of enrollment (which may be lifetime access or a defined access period). You may not share login credentials, reproduce, distribute, or resell any course content.
Certifications issued by Profit Kitchen Academy are earned upon satisfactory completion of the required coursework and any associated assessments. Profit Kitchen reserves the right to revoke a certification if content is found to have been completed dishonestly or if the recipient violates these Terms in a material way.
All Academy content, including the T.A.B.L.E. Framework, course materials, worksheets, and templates, is provided for educational purposes only. Application of course concepts is the sole responsibility of the participant. Profit Kitchen does not guarantee specific business results from course completion.
All fees are disclosed at the point of sale. By completing a purchase or enrollment, you authorize Profit Kitchen to charge your payment method for the amount stated. All fees are in U.S. dollars.
VOM consulting services are billed weekly, in advance, on the day of the week your service commenced. Your service continues on a month-to-month basis with no long-term contract. There are no setup fees unless explicitly disclosed.
Pulse subscriptions are billed at the start of each billing cycle (monthly or annual). If payment fails, Profit Kitchen will make reasonable attempts to collect payment. Access to the platform may be suspended after a failed payment until the balance is resolved.
You are responsible for any applicable sales, use, or similar taxes arising from your purchase. Profit Kitchen will charge tax where required by law.
If you believe you have been charged in error, contact us at [email protected] within 30 days of the charge. Initiating a chargeback without first contacting Profit Kitchen may result in immediate suspension of services.
You may cancel VOM consulting services at any time by providing written notice to [email protected]. Cancellation takes effect at the end of the current weekly billing cycle. Fees already charged for the current week are non-refundable.
You may cancel your Pulse subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period (monthly or annual). No prorated refunds are provided for partial periods. Upon cancellation, your access continues until the end of the paid period, after which it will not renew.
Due to the digital nature of course content, all Academy purchases are final and non-refundable once course access has been granted. If you experience a technical issue that prevents access, contact us within 7 days of purchase and we will work to resolve it.
Profit Kitchen reserves the right to terminate or suspend your access to any service immediately and without refund if you violate these Terms, engage in abusive behavior toward our team, or are found to be misrepresenting your business for the purpose of obtaining service under false pretenses.
You agree not to use Profit Kitchen services, tools, or platform for any purpose that is unlawful or prohibited by these Terms. Prohibited uses include, but are not limited to:
Violations of this section may result in immediate termination of your account without refund.
All content, frameworks, tools, branding, and materials produced by or for Profit Kitchen, including the T.A.B.L.E. Framework, Profit Kitchen Pulse platform, Academy course materials, reports, templates, SOPs, and website content, are the exclusive intellectual property of Profit Kitchen Consulting and are protected by copyright, trademark, and other applicable laws.
Any materials created specifically for you as part of a consulting engagement (e.g., custom SOPs, menu engineering analyses, delivery optimization reports) are delivered for your personal business use only. You may not resell, publish, or distribute these materials without written permission from Profit Kitchen.
Nothing in these Terms transfers ownership of any Profit Kitchen intellectual property to you. All rights not expressly granted herein are reserved by Profit Kitchen.
In the course of providing services, each party may have access to the other's confidential business information. Both parties agree to:
Profit Kitchen may use anonymized, aggregated, non-identifiable data from client engagements for internal benchmarking, product improvement, and marketing purposes. No identifying business information will be disclosed publicly without your written consent.
Services provided "as-is." Profit Kitchen provides all services, tools, and content on an "as-is" and "as-available" basis. To the fullest extent permitted by law, Profit Kitchen disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
No guarantee of results. Profit Kitchen does not guarantee any specific financial, operational, or business outcome from use of its services. Results depend on factors outside of Profit Kitchen's control, including but not limited to market conditions, staffing, client execution, and third-party platform behavior.
Not legal, financial, or accounting advice. Nothing in these Terms or in any Profit Kitchen service constitutes legal, financial, tax, or accounting advice. You should consult a licensed professional for matters requiring such expertise.
Third-party platforms. Profit Kitchen's consulting services and Pulse platform may integrate with or reference third-party platforms (DoorDash, Uber Eats, Grubhub, POS systems, etc.). Profit Kitchen is not affiliated with, endorsed by, or responsible for the actions, pricing, or terms of any third-party platform.
To the maximum extent permitted by applicable law, Profit Kitchen's total liability to you for any claims arising from or related to these Terms or any service shall not exceed the total fees you paid to Profit Kitchen in the three (3) months immediately preceding the claim.
In no event shall Profit Kitchen be liable for any indirect, incidental, special, consequential, or punitive damages (including lost profits, lost revenue, loss of data, or business interruption) even if Profit Kitchen has been advised of the possibility of such damages.
You agree to indemnify, defend, and hold harmless Profit Kitchen Consulting, its owners, employees, contractors, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or related to: (a) your use of Profit Kitchen services; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) any false or misleading information you provided to Profit Kitchen.
These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or Profit Kitchen services shall first be submitted to good-faith negotiation between the parties. If negotiation fails, disputes shall be resolved by binding arbitration in Duval County, Florida, in accordance with the rules of the American Arbitration Association.
You and Profit Kitchen agree that any dispute resolution will occur on an individual basis only. Class actions and class arbitrations are not permitted.
Profit Kitchen reserves the right to update these Terms at any time. When we do, we will update the "Last Updated" date at the top of this page and, for material changes, notify active subscribers and clients by email. Your continued use of any Profit Kitchen service after the updated Terms take effect constitutes your acceptance of the revised Terms.
